Amsterdam-based Prosus, a global technology company, announced that it has received European Commission approval to acquire Just Eat Takeaway.com, securing the final regulatory clearance for its €4.1B offer.
This was the final regulatory approval required to complete the offer. All necessary approvals have now been obtained ahead of schedule.
“We are very pleased with the European Commission’s rapid approval of the acquisition of JET,” says Prosus CEO Fabricio Bloisi. “Innovation waits for no one, and now that we have this approval, we can get started quickly. This is necessary because AI is rapidly changing the world of meal delivery. This milestone marks a powerful investment in the European future of AI and reinforces our commitment to Europe.”
To address competition concerns, Prosus agreed to significantly reduce its shareholding in rival Delivery Hero to below 10 per cent within 12 months.
Furthermore, Prosus and its parent company, Naspers, will no longer appoint or nominate any of their affiliates to Delivery Hero’s management, supervisory board, or other governing bodies.
The acceptance period for the offer will remain open until October 1, 2025, at 17:40 CEST. Prosus and JET are encouraging all shareholders to tender their shares under the offer.

If all conditions are met by the closing date, including the acceptance threshold, Prosus will declare the offer unconditional within three business days.
After receiving shareholder approval during the extraordinary general meeting on July 8, the acceptance threshold has been decreased from 95 per cent to 80 per cent of JET’s total issued and outstanding share capital, reports
The announcement comes over a month after the launch of AI House Amsterdam, a state-of-the-art innovation hub designed to foster collaboration, knowledge-sharing, and development in AI.
